IMPORTANT – READ CAREFULLY: This Subscription Agreement (“Agreement”) is a legal contract between you (“You” or “User”) and eZ-Xpo (dba AI X Network). This Agreement governs your access to the eZ-Xpo platform, HybridEvent365, and all associated AI agents, software, and services (collectively, the “Product”).
BY CLICKING “SUBMIT” OR ACCESSING THE PRODUCT, YOU AGREE TO BE BOUND BY THIS AGREEMENT, INCLUDING THE MANDATORY ARBITRATION PROVISION AND THE LIMITATIONS OF LIABILITY IN SECTIONS 9 AND 10.
Services: AI X Network provides virtual collaborative environments, marketplaces, and the HybridEvent365 engagement ecosystem.
AI Disclaimer: The Product utilizes Artificial Intelligence. You acknowledge that AI outputs are generated via algorithms and may contain errors or "hallucinations." AI X Network provides no guarantee regarding the accuracy or fitness of AI-generated content for specific legal, medical, or financial decisions.
Binding Authority: If you represent an entity, you warrant that you have the legal authority to bind said entity to these Terms.
Account Security: You are responsible for all activity under your account. You must notify [email protected] immediately upon any suspected security breach.
Auto-Renewal: Subscriptions renew automatically. To avoid the next billing cycle, cancellation must be received three (3) business days prior to the renewal date.
Refund Policy:
Strictly Non-Refundable: One-time Setup Fees, Customization Fees, and Special Promotions are non-refundable once payment is processed.
10-Day Window: The One-time Licensing Fee and Monthly/Annual Subscription Fees are non-refundable after ten (10) days from the billing date.
Chargebacks: Initiating an unauthorized chargeback is a material breach. We reserve the right to terminate access and report delinquent accounts to collections.
Proprietary Rights: All software, AI models, training methodologies, and the HybridEvent365 framework remain the exclusive property of eZ-Xpo. No license is granted to "scrape" or "harvest" data from the platform.
License to User Data: You grant AI X Network a worldwide, royalty-free license to host, store, and process Your data to provide the Service. Furthermore, we may use de-identified, aggregated data to improve our AI models and platform performance.
You agree NOT to use the Product to:
Develop competing AI models or reverse-engineer our proprietary technology.
Generate deepfakes, hate speech, or deceptive content.
Exceed reasonable usage limits (API calls/tokens); we reserve the right to throttle accounts that impact network stability.
By User: Must be requested via the account dashboard or emailed to [email protected].
By AI X Network: We reserve the right to suspend or terminate accounts for non-payment, breach of terms, or behavior that threatens the integrity of the network.
THE PRODUCT IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI X NETWORK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE 100% UPTIME.
IN NO EVENT SHALL AI X NETWORK OR EZ-XPO BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR MAXIMUM TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT IS LIMITED TO THE AMOUNT PAID BY YOU DURING THE ONE (1) MONTH PRIOR TO THE CLAIM.
You agree to defend and indemnify AI X Network from any claims arising out of Your content, Your misuse of AI tools, or Your violation of third-party intellectual property rights.
Venue: This Agreement is governed by California law.
Arbitration: All disputes shall be settled by binding arbitration in San Francisco, CA. You waive the right to participate in class-action lawsuits or jury trials.
